Terms of Service

1. About these terms

These Terms of Service (the "Terms") are an agreement between you and Adjudica Inc. ("Adjudica", "we" or "us"). They apply to Geotastic: the website at geotastic.us, the app at app.geotastic.us and the API at api.geotastic.us.

If you use Geotastic for an organization, you accept these Terms for that organization. You must have the authority to do so. In these Terms, "you" means you and that organization.

Your organization can have a signed agreement with us, such as a pilot agreement or an order. If that agreement and these Terms do not agree, the signed agreement controls.

If you do not accept these Terms, do not use Geotastic.

2. What Geotastic does

Geotastic is a tool for the staff of organizations. It answers questions about map data. An AI model writes a plan and Python code for each question. Geotastic runs that code in a sandbox on our server and shows the answer.

Geotastic uses the ArcGIS layers that you can see under your own sign-in, and the data that you upload. Our Security and AI page tells how Geotastic moves and keeps your data.

3. Your account

• You sign in with ArcGIS, Microsoft or Google. You can use only the sign-in methods that your Geotastic administrator turns on.
• An administrator must approve your account before you can use Geotastic.
• Keep your sign-in secure. You are responsible for all activity under your account.
• If you think that another person used your account, tell us immediately at security@geotastic.us.
• You can delete your account at any time on your profile page in the app.

4. Your data

"Your Data" is the data that you put into Geotastic or that Geotastic gets for you. This includes your layers, uploaded files, questions and answers. You keep all your rights to Your Data.

You give us permission to store, copy, process and send Your Data. We use this permission only to supply Geotastic to you, keep it secure and repair problems. This includes the data that Geotastic sends to the AI model, as our Security and AI page tells.

• We do not sell Your Data.
• We do not train AI models on Your Data.
• You must have the right to use the data that you put into Geotastic.
• Do not put data into Geotastic if a law or a contract does not let you share it with a service provider.

Our Privacy Statement tells how we collect and use personal data.

5. Rules for use

Do not use Geotastic to do these things:

• Break a law or the rights of another person.
• Get access to accounts, data or systems that you do not have permission to use.
• Go around the sandbox, the limits or the security controls of Geotastic.
• Test the security of Geotastic without our written permission. To get permission, write to security@geotastic.us.
• Send malware, or put an unusually large load on Geotastic.
• Copy, sell or rent Geotastic, or use it to make a product that competes with Geotastic.
• Reverse engineer Geotastic, unless the law permits it.

6. AI answers

The AI can make mistakes. An answer can be incomplete or incorrect.

• Each answer shows its plan, its code and the data between the steps. Check each answer before you use it.
• People make the decisions. Do not use an answer as the only basis for a decision that has a legal effect on a person.
• You can use the answers that Geotastic gives you. We do not claim rights in them.

7. Services of other companies

Geotastic connects to services of other companies, such as ArcGIS, Microsoft, Google and the AI model provider. Their own terms apply to your use of their services. We are not responsible for these services.

ArcGIS is a trademark of Esri. Geotastic is not affiliated with or endorsed by Esri.

8. Our rights

We own Geotastic, its software and its name. These Terms let you use Geotastic only as these Terms permit. They do not give you other rights.

If you send us ideas or feedback, we can use them without an obligation to you.

9. Fees

Your order or pilot agreement tells the fees and how to pay them. We do not charge you without a signed order.

10. Changes to Geotastic and suspension

We change Geotastic from time to time to make it better. We do not promise that Geotastic is always available or free of errors.

We can suspend your access if you break these Terms, or to protect Geotastic, its users or other persons. We will tell you about a suspension when the law and security let us.

11. End of use

You can stop the use of Geotastic at any time. When you delete your account on your profile page, Geotastic deletes your data.

We can end your access if you break these Terms. If we stop Geotastic, we will tell you at least 30 days before. In that time, you can save your answers.

After your access ends, we delete your data as our Privacy Statement tells.

12. No warranty

We supply Geotastic "as is" and "as available". To the full extent that the law permits, we disclaim all warranties, express or implied. This includes the warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limit of liability

To the full extent that the law permits, Adjudica is not liable for indirect, incidental, special, consequential or punitive damages. Adjudica is also not liable for lost profits, revenue or data.

For all claims about Geotastic, the total liability of Adjudica has a limit. The limit is the larger of these amounts: the fees that you paid us in the 12 months before the claim, or 100 US dollars.

These limits do not apply where the law does not permit them.

14. Claims about your data

To the extent that the law permits, you will defend Adjudica against claims from other persons about Your Data or your breach of these Terms. You will pay the costs and damages that a court awards on these claims.

15. Governing law

The laws of the State of New York govern these Terms. The conflict-of-law rules of New York do not apply. The state and federal courts in New York hear all disputes about these Terms or Geotastic.

Some public agencies cannot accept the law or the courts of another state. For these agencies, the law of their own state controls on that point.

Before you start a legal claim, write to us at hello@geotastic.us. We will try to solve the problem with you in 30 days.

16. Changes to these Terms

We can change these Terms. We will put the new Terms on this page and change the effective date. If a change is important, we will tell you in the app or by email at least 30 days before the change starts.

If you continue to use Geotastic after a change starts, you accept the new Terms.

17. General

• These Terms and your signed agreements with us are the full agreement about Geotastic.
• If a court finds that a part of these Terms is not enforceable, the other parts stay in effect.
• If we do not enforce a part of these Terms, we can still enforce it later.
• You cannot transfer these Terms to another person without our written permission. We can transfer them to a company that acquires Geotastic.
